What I understand about Private Equity that generalists don't

A traffic number is not an asset.

Branded versus non-brand, concentration in a few URLs and exposure to AI answers decide whether the number survives you owning it. I separate them before you price it.

I write for your model.

Every material finding comes with revenue at risk, a time horizon and a remediation cost. That's what you argue an adjustment from, and what the investment committee will ask for.

Platform risk is deal risk.

Twenty years in web development means I read the stack, not just the rankings. A proprietary CMS only one founder understands is a line item in the price.

I've done this on both sides of the close: 50+ diligence engagements before the deal, and 20+ brand integrations after it.

Clear steps, flat pricing, no surprises

  1. Intro call

Thirty minutes on the target, the stage of the deal and the decision you need to make.

  2. Scope and NDA

NDA first, then a fixed-fee scope tied to your timeline.

  3. Analysis

I work the data myself. No junior analyst drafts, no handoff.

  4. Readout

A written verdict and a live walkthrough with your deal team.

Pricing
Flat-rate project pricing. No hourly surprises.
Confidentiality
NDA by default, before we discuss specifics.
What I need from you
The target's URL and your deal timeline. For Full Due Diligence, Search Console and analytics access once the seller agrees.

50+SEO due diligence engagements
20+Brands consolidated into one parent domain
Engagement snapshot

Buyer evaluating an $11M acquisition

Situation
The asset's entire infrastructure ran on a proprietary stack maintained only by the co-founder.
What I did
Assessed platform and talent risk and compared rebuild time against the purchase runway.
Outcome
The rebuild timeline clashed with the deal runway, so the client walked away from the $11M deal.
Engagement snapshot

Investor reviving a long-parked premium domain

Situation
Twenty years of unchecked backlinks and DNS neglect sat under a plan to flip the domain for up to $25M.
What I did
Showed the 12-month plan would fail without structural fixes.
Outcome
The client built the remediation into its first-year roadmap before committing.

Questions Private Equity teams ask

Can you assess a target without the seller knowing?

Yes. The Pre-LOI Audit is built entirely from external data, with no contact with the target. It can't verify the seller's own reporting, which is why Full Due Diligence needs access.

How do you verify the seller's organic traffic claims?

I reconcile the seller's analytics against Search Console, third-party estimates and a direct crawl, then check the measurement setup for filters and channel groupings that change what the number means. Separating branded from non-brand traffic often changes the picture most.

What deal sizes do you work on?

My diligence work spans deals from $2M to $30M, mostly buy side. The method is repeatable at any size, and I don't present it as billion-dollar experience.

Should remediation come out of the price or the post-close budget?

Work needed to hold the traffic your valuation assumes belongs in the price. Work that grows the asset beyond its current performance belongs in the post-close plan. The report separates the two.

We're building a roll-up. How does this work across targets?

I assess each target individually, then map overlap across the group, including assets you already own. I did this across 20+ acquisitions at LifeStance Health, through to consolidation onto one parent domain.

Is this investment or valuation advice?

No. Diligence informs your decision. I'm not a financial advisor or a valuation firm of record, and the price adjustment is your call and your model.

Have a target on the table?

Tell me the deal stage and I'll tell you which level of diligence fits.
