SEO Due Diligence for M&A and Website Acquisitions

When you acquire a website, you are buying a stream of demand the seller may not fully understand and cannot fully control. SEO due diligence tells you whether that demand will hold, what it is worth, and what it will cost to keep after close.

I have run SEO diligence on more than 50 acquisition targets, on deals from $2M to $30M, and consolidated a 20+ brand healthcare roll-up ahead of its IPO. Findings are written for your model: revenue at risk, time horizon, and remediation cost.

Most of this work was buy-side, used to support a final decision to acquire. It spans healthcare, affiliate and content sites, and partnerships with major international media brands.

20+ acquired brands, one parent domain: LifeStance Health

At LifeStance Health, I led SEO due diligence, asset integration, and organic growth across 20+ regional mental health brand acquisitions. Each brand was grown on its own first, smaller regional names were merged together, and then everything was consolidated into the parent domain ahead of the company's 2021 IPO.

Avoiding an $11M Technical Debt Trap

Client and deal details anonymized.

My assessment uncovered that the asset's entire infrastructure ran on a proprietary tech stack maintained exclusively by the co-founder. Sustaining the asset required either a permanent acquihire or a complete platform rebuild. While the rebuild fit the financial budget, the required timeline clashed with the purchase runway. Proceeding would have resulted in a guaranteed loss, allowing the client to confidently walk away from the $11M deal.

Sequencing a $25M domain revival

Client and deal details anonymized.

The client owned a world-class domain parked for two decades, aiming to rapidly revive and flip it for up to $25M. However, 20 years of unchecked backlink accumulation and DNS neglect left the asset fundamentally broken for modern search. My diligence showed the 12-month timeline would fail without structural fixes. The client built that remediation into their first-year roadmap before committing to the plan.

Three levels of diligence, matched to your deal stage

What you need before an LOI is different from what you need before close. Pick the level that fits where you are; many buyers start with a Pre-LOI Audit and move up if the deal progresses.

Pre-LOI Audit

Starts at $3,500

3 calendar days

Best for
Pre-LOI: should we proceed?
Access needed
  • None: Audit is conducted entirely via 3rd-party tools.

  • Google Search Console: Optional (needed to verify Google manual penalties)

You receive
  • Deal-Breaker Analysis: Penalty risk, AI Overview exposure, and toxic backlinks

  • Traffic Health Check: Volatility patterns and steep organic decline detection

  • Next-Step Advice: Clear guidance on whether full due diligence is warranted

Investment Committee Diligence

Starts at $15,000

3–4 weeks

Best for
Platform acquisitions and assets that will continue to operate independently, requiring performance forecasting and a long-term marketing strategy for the IC.
Access needed
  • Analytics Platform(s): Google Search Console and GA4 (or equivalent)

  • Data Room Artifacts: Marketing strategy documents, historical spend, and tech stack details

  • Target Access: Direct access to the target company's marketing leadership or 1-5 year marketing plans

You receive

A custom Investment Committee (IC) deck and comprehensive forecasting model designed to maximize long-term performance, including:

  • Everything in Full Diligence: Plus deep-dive management interviews to vet the target's strategy and execution capabilities.

  • Performance Forecasting:
Organic TAM (Total Addressable Market) and yield modeling to project future growth and revenue potential.

  • Strategic Optimization: Actionable recommendations to refine the ongoing marketing strategy and maximize the asset's long-term value.

Fees scale with the size and complexity of the asset: indexed URLs and page templates, number of domains and languages, platform, and data access. Scope, timeline, and fee are agreed in writing before work starts. Expedited timelines can be considered for live LOI or close dates.

Add-on: 100-Day Post-Close SEO Roadmap

A sequenced plan for the target's team or incoming CMO: what to fix first, what to leave alone during transition, and the monitoring thresholds that should trigger intervention. Scoped separately.

What Full and IC reports include

  • An investment-committee summary The first pages stand alone: the position, the material findings, and the recommended pricing response.
  • Findings written as decisions Each material issue has a severity, an estimated remediation cost, and a plain statement of what it means for your offer.
  • Evidence appendices Crawl data, reconciliation tables, and link analysis for your technical advisors to check.
  • A working session A live review with your deal team, and follow-up questions from your other advisors as the process continues.

Financial diligence shows what the asset earned. SEO diligence shows whether it can keep earning it.

Two content businesses can report the same revenue and the same organic sessions and still be worth very different amounts. If most sessions come from branded searches, you are buying a brand that may not transfer cleanly. If they come from a dozen head terms, one algorithm update can take them back. If growth tracks a competitor's decline, it may reverse when that competitor recovers. None of this shows up in a sessions chart.

Analytics that measure the wrong thing

Filters, unexcluded bot traffic, and channel groupings that count paid or referral sessions as organic.

Rankings that depend on technical accidents

Undocumented configurations that break when the site moves infrastructure.

Links that won't survive review

Profiles built on practices that no longer work, or on relationships that leave with the founder.

Concentration nobody measured

Revenue resting on a handful of URLs, one query cluster, or one season.

Migration planned too late

Integration decisions made after close, when the traffic-critical choices are already locked in.

AI exposure that history can't show

Queries that AI answers resolve without a click. On most targets the decline hasn't happened yet.

John McAlpin speaking at an SEO conference

John McAlpin — Enterprise SEO Consultant

I have spent 12+ years in enterprise search and over twenty years in web development. My diligence work has been mostly buy-side: at LifeStance Health through a 20-brand roll-up, at Pillar 4 on every site the company acquired, and for private clients on assets from $2M to $30M.

The development background matters here. Judging whether a target's platform can carry your plans, or what a migration will cost, takes someone who has built and moved sites. Much of my analysis runs on tooling I wrote myself.

Every finding is checked across independent data sources before it reaches you. You work with me directly, from the first call to the final review.

Confidentiality

Where I'm free to name past clients, I do. Live transactions are different: I work under your NDA as a matter of course and never publish, reuse, or reference deal details.

Working with your other advisors

The report is built to sit alongside financial, legal, and technology diligence, not duplicate it. I'm glad to coordinate with your QoE provider or deal counsel, present to an investment committee, or work directly with the analyst maintaining the model.

Sell-side preparation

If you are preparing a digital asset for exit, the same analysis shows what a buyer's reviewer will find, what is worth fixing in the time available, and how to document the organic performance you are asking a buyer to pay for. I don't take both sides of the same transaction.

The method, for your analysts and technical advisors

01 Traffic validation

No single data source is taken as evidence. Every claim about the target's organic performance is confirmed across independent systems before it enters the report.

  • Cross-source reconciliation. Google Analytics, Search Console, Ahrefs, Semrush, and a full crawl each measure differently. Where they disagree is usually where the findings are, so I reconcile them rather than average them.
  • Measurement audit. Tracking implementation, property configuration, filter history, channel groupings, bot exclusion, and whether any of it changed during the period presented. A mid-period tracking change can create a growth trend that never happened.
  • Brand, non-brand, and paid separation. Branded search reflects demand the business already created. Paid overlap can inflate organic numbers with spend that stops at close. I report the non-brand organic figure as the basis for any traffic-driven valuation.
  • Three to five years of history. Enough to separate real growth from a competitor's decline, identify which algorithm updates the site survived, and show the normal range the asset operates in.

Output: verified non-brand organic traffic, with a stated range of confidence.

02 Search risk assessment
  • Algorithm exposure and manual actions. I check for manual actions, then map traffic against past algorithm updates. How a site behaved through past updates is the best available predictor of the next one.
  • Technical debt and infrastructure. A full crawl, a second crawl of canonical targets to catch loops a standard crawl reports as healthy, crawl statistics, and indexation against what the site publishes. Each issue carries a remediation cost.
  • Concentration. Revenue share from top queries and URLs, single-page dependency, seasonality, and reliance on one referring domain or content category.
  • Backlink risk. Authority distribution, anchor patterns, acquisition velocity, and the share of the profile that is manipulative or dead. Large profiles are analyzed in BigQuery with Majestic data.

Output: each risk rated for likelihood and cost. First-year technical debt is treated as a price adjustment, not a post-close task.

03 Content and link asset evaluation
  • Content contribution. Which sections earn, which are inert, which dilute the site, and which hold value the current owner hasn't worked. A library of 4,000 articles where 200 produce the traffic needs a different post-close plan from one where value is spread evenly.
  • Link equity. Which parts of the profile are defensible, and whether the equity sits on pages you plan to keep. Equity on URLs a replatform will retire is lost unless it is mapped.
  • Competitive position. Benchmarked against the closest competitors on visibility, content depth, authority, and technical health: a leader, a challenger, or an incumbent being overtaken.
  • What transfers. Founder-held relationships, personal authorship, and brand recognition tied to one person are identified explicitly, as are proprietary systems only one person can run.
04 AI search exposure

Queries that can be answered in a paragraph increasingly resolve without a click. Queries that need a destination, a transaction, or a comparison still send one. The exposure depends on where the target's traffic sits.

  • Query vulnerability. The share of organic value behind queries AI answers are likely to absorb.
  • Citation presence. Whether the target is cited as a source in AI answers in its category, or only ranks beneath them.
  • Entity strength. Whether the business is a recognized entity, and whether that recognition belongs to the brand or to a departing founder.
  • Click-share divergence. Pages where rankings have held but clicks have thinned, an early signal that rank tracking alone misses.

For informational content acquisitions, this often matters more to the five-year model than the technical audit.

05 Valuation impact
  • Findings in model terms. For each material finding: organic revenue at risk, the horizon, the cost and time to fix, and the adjustment you can defend. Findings that support the seller's position are reported too.
  • Channel value floor. Where useful, verified non-brand traffic is valued against the paid-search cost of the same queries. It is a check on the multiple, not a replacement for your valuation.
  • Upside. Correctable technical problems and unworked content opportunity are quantified with the same rigor as the risks.
  • Price adjustment vs. post-close budget. Work needed to hold the traffic your valuation assumes belongs in the price. Work that grows the asset beyond that belongs in your post-close plan. The report separates the two.
06 Integration planning

For a domain move, rebrand, replatform, or consolidation into an existing property, the report shows the search cost before you commit: URL-level redirect mapping, protection of pages carrying link equity, handling of content that overlaps with properties you own, and the failure modes that cause most migration losses (wildcard redirects, bulk consolidation onto category pages, redirect chains).

For roll-ups, each target is assessed individually, then overlap across the group is mapped: where consolidation strengthens authority and where it would retire pages that were earning. International targets are assessed market by market, since a global total can hide both dependency and opportunity.

The detailed 100-Day Post-Close SEO Roadmap is available as an add-on.

Frequently asked questions

How do I know the seller's organic traffic claims are accurate?

I reconcile the seller's analytics against Search Console, third-party estimates, and a direct crawl, then check the measurement setup for filters, bot exclusion, and channel groupings that change what the number means. Separating branded from non-brand traffic often changes the picture more than any technical issue.

Can you work without access to the target's analytics?

Yes. The Pre-LOI Audit is built entirely from external data, so the target doesn't need to know. It covers technical health, links, ranking history, competitive position, content, and AI exposure. It can't verify the seller's own reporting, which is why Full Due Diligence needs access.

How fast can you start?

Usually within 2–3 business days of signing, depending on deal type and how quickly access is granted. Expedited timelines can be considered for live LOI or close dates.

How much should I adjust my offer based on your findings?

That is your decision and your model. Each material finding comes with revenue at risk, a time horizon, and a remediation cost, which is what an adjustment is argued from. I'll tell you what I would want reflected in the price and why.

Should remediation come out of the price or the post-close budget?

Work needed to hold the traffic your valuation assumes belongs in the price. Work that grows the asset beyond its current performance belongs in the post-close plan. The report separates the two.

We're doing a roll-up. How does this work across multiple targets?

Each target is assessed individually, then overlap across the group is mapped, including with assets you already own. I did this across 20+ acquisitions at LifeStance Health, through to consolidation into a single parent domain.

What if we plan to migrate the site onto our existing domain?

Then diligence becomes the first stage of the migration. The focus shifts to which URLs carry equity, how content overlaps with yours, and whether your platform can support the acquired content. Consolidation is where acquired search value is most often lost.

Why are there no detailed case studies?

Transaction work is confidential, and anonymized deal details can often be traced back to a real deal. I'm glad to walk through methodology on a call. A redacted sample IC summary is available on request, under NDA.
